Effective Date: January 1, 2026
Last Updated: June 30, 2026

These Terms of Service (“Terms”) govern your use of the O’Brien Consults website and, where incorporated into a proposal, agreement, statement of work, or other engagement, services provided by O’Brien Consults.

By accessing our website or agreeing to services governed by these Terms, you agree to the applicable provisions below.

About O’Brien Consults

O’Brien Consults is a business consulting company based in Edmonton, Alberta, Canada.

Depending on client needs, our work may include business consulting, strategy, website development, CRM implementation, business automation, AI integration, advertising, lead generation, email marketing, SMS marketing, and related digital solutions.

Our services may change as our business develops.

Using Our Website

You may use our website for lawful business and informational purposes.

You agree not to misuse the website, attempt unauthorized access, interfere with its operation, introduce malicious software, misuse forms, or use the website in violation of applicable law.

Consulting Services

Our consulting begins with understanding the client’s business, challenges, objectives, available resources, and priorities.

Recommendations may involve strategy, technology, marketing, systems, processes, or other business improvements.

Business decisions and implementation decisions ultimately remain the responsibility of the client.

Proposals and Project Agreements

Specific projects may be governed by a proposal, contract, statement of work, invoice terms, or other written agreement.

These documents may establish:

  • Project scope
  • Deliverables
  • Fees
  • Payment schedules
  • Timelines
  • Minimum commitments
  • Responsibilities
  • Revisions
  • Cancellation terms
  • Third-party costs
  • Other project-specific conditions

If a project-specific written agreement conflicts with these general Terms, the project-specific agreement will govern to the extent of that conflict.

Project Scope

We will perform work reasonably included within the agreed project scope.

Requests that materially change or expand the original scope may require additional fees, additional time, or a revised agreement.

Client Responsibilities

Clients are responsible for providing information and cooperation reasonably required to complete their project.

This may include:

  • Business information
  • Content
  • Images
  • Brand materials
  • Platform access
  • Credentials
  • Approvals
  • Feedback
  • Project contacts
  • Legal permissions

Delays in receiving required information or approvals may affect project timelines.

Client-Provided Information

Clients are responsible for ensuring that information, claims, pricing, offers, images, trademarks, customer data, and other materials they provide are accurate and lawfully usable.

The client represents that it has the rights and permissions required for O’Brien Consults to use those materials for the project.

Fees and Payment

Pricing will be established through the applicable proposal, package, invoice, or agreement.

Unless otherwise stated, applicable taxes, advertising budgets, software subscriptions, domain registrations, hosting charges, and other third-party costs may be additional.

Invoices must be paid according to the payment terms provided.

Monthly Services

Some O’Brien Consults services are offered through monthly packages or ongoing consulting arrangements.

Certain packages may require a minimum commitment, including five-month commitments where expressly stated.

The applicable offer or agreement will establish the monthly fee, included services, minimum term, renewal terms, and cancellation requirements.

Free Website Offers

O’Brien Consults may occasionally include a professional website build with eligible consulting or service packages at no additional upfront development charge.

Eligibility and conditions may vary.

The applicable offer or agreement will explain the website scope, package commitment, hosting, revisions, ownership, third-party expenses, and any conditions associated with cancellation.

A “free website” offer refers to the eligible website build and does not automatically include domains, hosting, premium software, third-party subscriptions, ongoing maintenance, future modifications, or services not specifically included in the offer.

Website Development

Website projects may include design, development, content implementation, forms, integrations, analytics, hosting configuration, or other agreed functionality.

Specific deliverables and revision allowances will be established before work begins.

Advertising Services

Where O’Brien Consults manages advertising, the client is responsible for approved advertising budgets unless otherwise agreed in writing.

Advertising spend paid to platforms such as Google or Meta is generally separate from O’Brien Consults’ management or consulting fees.

Advertising Performance

Advertising performance can be affected by competition, market conditions, customer demand, budgets, targeting, creative performance, pricing, offers, platform algorithms, website experience, and the client’s sales process.

O’Brien Consults does not guarantee a particular number of leads, customers, sales, impressions, clicks, or revenue.

CRM and Automation

We may recommend, configure, integrate, or manage CRM systems and business automations.

These solutions may depend on third-party software and services.

O’Brien Consults cannot guarantee uninterrupted availability or continued functionality of software operated by third parties.

Artificial Intelligence

O’Brien Consults may use or implement artificial intelligence tools when appropriate.

AI-generated information can contain errors and should not automatically replace appropriate human judgment.

Clients remain responsible for reviewing important outputs before relying on them for material business, financial, legal, employment, or customer decisions.

Email and SMS Services

We may assist with email marketing, SMS marketing, automated follow up, and related systems.

Clients remain responsible for ensuring that customer information, contact lists, consent practices, and communications comply with applicable laws and platform requirements.

Third-Party Services

Our work may depend on third-party providers including:

  • Website hosts
  • Domain registrars
  • Advertising platforms
  • CRM providers
  • Email platforms
  • SMS providers
  • Automation tools
  • Analytics services
  • AI providers
  • Scheduling platforms
  • Other business software

O’Brien Consults does not control these providers.

We are not responsible for third-party outages, price changes, policy changes, account suspensions, feature changes, algorithm updates, or discontinued services.

Intellectual Property

O’Brien Consults retains ownership of its pre-existing intellectual property, methods, frameworks, processes, templates, systems, know-how, and reusable materials unless otherwise agreed in writing.

Ownership or licensing rights for custom client deliverables will be established by the applicable project agreement.

Client Materials

Clients retain ownership of materials they provide.

By providing materials for a project, the client grants O’Brien Consults permission to use them as reasonably necessary to provide the agreed services.

Portfolio and Case Studies

Unless otherwise prohibited by written agreement, O’Brien Consults may display completed public-facing work in its portfolio, website, proposals, presentations, social media, or business-development materials.

We will not intentionally disclose confidential or non-public client information for promotional purposes without appropriate permission.

Confidentiality

O’Brien Consults will take reasonable steps to protect confidential business information shared as part of an engagement.

Clients are expected to do the same with confidential information belonging to O’Brien Consults.

Additional confidentiality requirements may be established through a separate written agreement.

Timelines and Delays

Project timelines are estimates unless expressly guaranteed in writing.

Timelines may be affected by client approvals, missing information, scope changes, third-party providers, technical issues, or circumstances outside our reasonable control.

Cancellation and Termination

Cancellation terms depend on the applicable service or project agreement.

Where a package includes a minimum commitment, the client remains responsible for that commitment unless the governing agreement provides otherwise.

O’Brien Consults may suspend or terminate services for material non-payment, unlawful activity, misuse, material breach, or other circumstances permitted by the applicable agreement or law.

Refunds

Unless otherwise stated in writing or required by law, fees associated with completed work, reserved capacity, incurred costs, advertising spend, software, third-party expenses, or completed project stages may be non-refundable.

Project-specific refund or cancellation terms may be established separately.

Business Results

Our goal is to help clients make better decisions and build stronger businesses.

However, no consultant can control every factor affecting business performance.

Unless expressly agreed otherwise in writing, O’Brien Consults does not guarantee specific revenue, profitability, customers, leads, advertising results, search rankings, sales, or other commercial outcomes.

It should not be considered legal, accounting, tax, financial, investment, or other regulated professional advice.

Maintenance, technical problems, security events, or third-party failures may occasionally affect availability.

  • Use our services for unlawful purposes

Limitation of Liability

To the maximum extent permitted by applicable law, O’Brien Consults will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of our website or services.

Project agreements may contain additional limitations appropriate to the particular engagement.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

Indemnification

To the extent permitted by law, clients agree to be responsible for claims, losses, or liabilities arising from unlawful instructions, misuse of deliverables, or materials supplied by the client that infringe another party’s rights.

Changes to Services

We may add, modify, or discontinue website features or service offerings as our business evolves.

Existing contractual obligations remain governed by their applicable agreements.

Governing Law

These Terms are governed by the laws of the Province of Alberta and the applicable federal laws of Canada.

Nothing in these Terms limits rights that cannot legally be waived.

Severability

If a provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

Entire Agreement

For website visitors, these Terms and the policies referenced within them govern use of our website.

For clients, an applicable proposal, contract, statement of work, or other written agreement may supplement or replace portions of these Terms.
